Terms of Service

These terms govern your use of Relay Labs services. Please read them carefully.

Effective Date: October 5, 2025

1. Definitions

"Customer" means the business entering this Agreement. "Services" means professional implementation, configuration, automation, dashboards, and optional ongoing maintenance/retainer services provided by Relay Labs. "Deliverables" means configurations, workflows, dashboards, documentation, and other outputs produced under an Order Form or Statement of Work ("Order"). "Customer Data" means data supplied by or on behalf of Customer. "Authorised Users" are Customer's personnel permitted to access any provided portal. "Subprocessors" means third parties engaged by Relay Labs to process Customer Data.

2. Business Use; Independent Contractor

Services are provided to businesses only. Relay Labs acts as an independent contractor. Relay Labs is not a law firm and does not provide legal advice. Any legal work is performed only by separate counsel under a separate agreement.

3. Services; Order Forms; Scope

All Services and Deliverables are described in an Order that specifies scope, milestones, timelines, and fees. Services comprise (a) Fixed-fee Implementation Builds and (b) optional Monthly Retainer Services. No subscription access is sold. Any work outside the Order requires a written change order with adjusted fees/timelines.

4. Third-Party Services; White-Label

Relay Labs may configure and operate third-party platforms (including telephony, messaging, automation, database, storage, email, analytics). Relay Labs may white-label these services. Customer authorises Relay Labs to use, integrate, and administer such providers for delivery. Provider terms remain between the provider and Relay Labs and/or Customer as applicable.

5. Data Roles; DPA; Subprocessors

For Customer Data processed to deliver the Services, Customer is the Controller and Relay Labs is the Processor. The parties incorporate a Data Processing Addendum ("DPA"). In any conflict between these Terms and the DPA regarding personal data, the DPA controls. Relay Labs may use Subprocessors, including but not limited to telephony (e.g., Twilio), AI (e.g., OpenAI), CRM/automation (e.g., GHL), database (e.g., Supabase), storage (e.g., AWS/S3), email (e.g., Resend). Relay Labs will maintain a current list upon request and will notify Customer of material changes as required by the DPA.
